Terms of Service

1. Agreement and eligibility

These Terms of Service (Terms) form a contract between you, the organization you represent, or both (Customer), and Media King AI (Media King, we, us, or our) for use of mediakingai.com and the Media King Services. By creating an account, clicking accept, or using the Services, you agree to these Terms and the Privacy Policy, Cookie Notice, and Acceptable Use Policy.

You must be at least 18 years old and able to form a binding contract. If you use the Services for an organization, you represent that you have authority to bind it.

2. The Services

Media King provides Project-based marketing operations, business-source ingestion, website scanning, knowledge organization, AI-assisted strategy and copy, image and video creation, previews, client review rooms, SEO workflows, social and advertising connector workflows, scheduling, analytics, and reporting. Features, providers, platform capabilities, and availability may change.

We may offer sandbox, draft, preview, or live modes. A sandbox or draft is not a promise that a provider will accept or publish content. Live actions remain subject to required permissions, approvals, budgets, provider policies, and technical checks.

3. Accounts, workspaces, and Projects

• Provide accurate information and keep it current. Protect passwords, invitations, recovery methods, and connected-account approvals.
• Use only the workspaces, Projects, data, websites, audiences, and accounts you are authorized to use. Do not attempt to access another customer’s workspace or Project.
• Assign the least privilege reasonably needed, review team access, and promptly remove former users. You are responsible for actions taken through your account unless caused by Media King’s breach of these Terms.
• A Project is an isolation boundary. Do not copy another customer’s material into a Project or use a connector for a business without documented authorization.

4. Customer Content and permissions

You retain ownership of material you upload or direct Media King to retrieve (Customer Content). You grant Media King and its providers a limited, non-exclusive, worldwide license to host, reproduce, transform, transmit, display, and process Customer Content only to provide, secure, support, and improve the Services as permitted by your configuration and agreement.

You represent that you have all rights, permissions, notices, consents, licenses, and lawful bases needed for Customer Content, personal information, websites, brand assets, testimonials, music, likenesses, and campaign claims. You must not submit secrets or regulated data unless an applicable agreement expressly permits it.

5. AI output, media, and human review

Outputs may be generated from your prompts, approved Project context, public information, and provider models. You own the rights you can lawfully own in an output, subject to third-party rights, provider terms, and applicable law. Similar outputs may be generated for other users.

You are solely responsible for fact checking, rights clearance, disclosures, accessibility, audience suitability, regulated claims, platform rules, and final decisions. Media King does not guarantee originality, accuracy, non-infringement, conversion, reach, rankings, revenue, or approval by a provider.

Never publish or spend based solely on an unreviewed AI suggestion. Review the frozen preview, destination account, disclosure, schedule, audience, and budget. Your approval authorizes the specified action, not unrelated actions.

6. Website scanning and connectors

You may scan only websites and materials you are permitted to access. Do not bypass authentication, rate limits, robots instructions, paywalls, geographic controls, or technical safeguards. Credentials entered in an interactive scanner must belong to you or be supplied with the owner’s authorization; do not send credentials in prompts or support messages.

Connected providers can change scopes, APIs, policies, prices, or availability. Media King is not responsible for provider actions, rejected content, disabled accounts, lost reach, rate limits, or data the provider removes. You may revoke a connector at any time, but queued or already-published provider actions may not be reversible.

7. Acceptable use

You must follow the Acceptable Use Policy and all laws and platform rules. Without limiting that policy, you may not use the Services for unlawful, deceptive, abusive, infringing, discriminatory, malicious, or misleading activity; spam or artificial engagement; impersonation; credential theft; unauthorized scraping; malware; evasion of safety controls; or campaigns that target people unlawfully.

You may not use Media King to make unsupported medical, health, financial, legal, employment, housing, political, or other regulated claims; to create fake reviews or undisclosed endorsements; or to promote products restricted by law or a provider. You are responsible for required disclosures, consent, opt-outs, age gates, and recordkeeping.

8. Publishing, paid media, and third-party spend

A publish, reply, campaign, or paid-media request may require separate content, connector, Project, live-mode, and spend approvals. Media King may block, pause, retry, or cancel an action when a safety, authorization, budget, duplicate, or provider check fails.

You authorize only the exact spend and destination shown in the approval. You are responsible for provider charges, ad account balances, taxes, refunds, and third-party terms. Media King is not your advertising, legal, medical, financial, or compliance adviser.

9. Plans, credits, and payment

Plans, usage limits, credits, reservations, subscriptions, taxes, renewal dates, and refund rules are shown at checkout or in an applicable order. A reservation may be held while an AI or media request runs and released according to the product’s metering rules. Credits are not money, are not transferable, and expire or roll over only as stated in the plan.

You authorize the payment processor to charge the selected payment method. We may suspend paid features for failed payment, fraud, chargebacks, exceeded limits, or an expired plan. Unless required by law or an order says otherwise, fees already incurred are non-refundable.

10. Intellectual property and feedback

Media King and its licensors own the Services, software, designs, documentation, trademarks, workflows, and improvements. These Terms grant a limited right to use the Services during the applicable subscription, not ownership of them. Media King is not granting rights to third-party platforms, stock media, fonts, music, models, or provider outputs.

If you send ideas, feedback, or suggestions, you grant Media King a perpetual, irrevocable, worldwide, royalty-free right to use them without identifying you or exposing Customer Content.

11. Confidentiality

Each party will protect the other party’s non-public information using reasonable care and will use it only to perform or receive the Services. Confidential information excludes information that is public without breach, already known without duty, independently developed, or lawfully received from another source. Disclosure required by law is permitted after notice when legally allowed.

12. Suspension and termination

We may limit, suspend, or terminate access when reasonably necessary for security, legal compliance, abuse prevention, unpaid fees, provider requirements, or material breach. We may preserve evidence and disable outbound actions while investigating. You may stop using the Services or cancel according to your plan.

After termination, access may end and Customer Content will be handled under the Privacy Policy, order, and retention settings. Sections that by their nature should survive—including payment, ownership, confidentiality, disclaimers, liability, indemnity, and dispute terms—will survive.

13. Disclaimers

To the maximum extent permitted by law, the Services and all outputs are provided as available and without warranties of uninterrupted operation, accuracy, fitness for a particular purpose, merchantability, non-infringement, security, or results. We do not guarantee that scanning will discover every page or asset, that an AI provider will return an output, that a platform will publish it, or that any campaign will achieve a particular result.

You remain responsible for independent backups of important Customer Content, legal review of campaigns, and decisions made from reports or recommendations. Nothing in the Services creates a fiduciary, agency, employment, legal, medical, or financial-adviser relationship.

14. Limitation of liability

To the maximum extent permitted by law, Media King and its affiliates, licensors, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, reach, or business interruption. Our total liability for a claim relating to the Services will not exceed the amount you paid to Media King for the affected Services during the twelve months before the event giving rise to the claim, or one hundred US dollars if you paid nothing.

These limits do not limit liability that cannot lawfully be limited, including liability for intentional misconduct or rights that applicable law makes non-waivable.

15. Indemnity

You will defend and indemnify Media King and its affiliates, personnel, licensors, and providers against third-party claims, losses, damages, penalties, and reasonable costs arising from your Customer Content, campaigns, instructions, connectors, violation of law or platform rules, breach of these Terms, or infringement of another person’s rights. We will give reasonable notice and may participate with counsel of our choice.

16. Disputes, law, and general terms

Before filing a formal claim, the parties will try in good faith to resolve the issue through written notice to support@mediakingai.com and a meaningful discussion. Any governing-law, venue, arbitration, consumer-rights, or small-claims rule in an applicable order or mandatory law controls over this general section. If no order applies, the law of the jurisdiction of the contracting Media King entity applies, without its conflict rules.

These Terms, the linked policies, and an applicable order are the entire agreement about the Services. If a provision is unenforceable, the remainder remains effective. We may assign the agreement in a merger, reorganization, or sale of assets; you may not assign it without consent except to a successor in a sale of substantially all business assets. Electronic notices and records are valid.

17. Changes and contact

We may update these Terms by posting a new version and effective date. Material changes will receive additional notice when required. Continued use after the effective date means you accept the updated Terms.
